TERMS AND CONDITIONS

1. All payments to AZDWebSolutions.com will be made via Cash, Check, PayPal, Epassporte, Xoom, Wire Transfer, and Western Union- other payment options subject to requests and approval.

2. AZDWebSolutions.com shall require 50% downpayment of the project/s total amount before the start of any design project/s. All backup files used in the design including psd photoshop files will be sent to the client upon the completion of the project and as soon as the 50% balance is settled.

3. No traffic from sites that contain material which constitutes an infringement, misappropriation or violation of any person’s intellectual property rights such as copyrights, trademark rights, rights of publicity, patent rights, personal property rights, privacy rights or other rights.

4. Modification. We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion. Notice of any change by e-mail, to your address on our records, or the posting on our site of a change notice of a new agreement, is considered sufficient notice for notifying you of a modification to the terms and conditions of this Agreement.

5. Indemnification. You hereby agree to indemnify, defend and hold harmless AZDWebSolutions.com (AZDWebSolutions.com), its officers, employees, agents, affiliates, successors and assigns, from and against any and all claims, losses, liabilities, damages or expense (including attorneys' fees and costs) of any nature whatsoever incurred or suffered by us (collectively the "losses"), insofar as such losses (or actions in respect thereof) arise out of or are based on (a) any claim or threatened claim that our use of your trademark(s) infringes on the rights of any third party; (b) the breach of any promise, covenant, representation or warranty made by you herein; or (c) or any claim related to your site.

7. You must be the one who owns or is otherwise is entitled to contract on behalf of the entity which owns the rights to your content/website.

8. The client hereby releases AZDWebSolutions.com from any and all legal actions or monetary settlements arising from the purchaser providing us with unlicensed images or content to be used for the development of their design. Including the model(s) appearing in ANY images that the client provides for use in the construction of their design.

9. LICENCE

AZDWebSolutions.com grants you a nonexclusive limited license to use the web templates in accordance with these Terms and Conditions (the "license") issued by AZDWebSolutions.com.

a) LIMITED USAGE GRANTED
You may only use each template on a single website where the "Designed by AZDWebSolutions.com" phrase and link is retained and viewable on all your pages using this template.

b) MODIFICATIONS
You are authorized to make any necessary modification(s) to our products to fit your purposes.

c) UNAUTHORIZED USE
You may not place any of our products, modified or unmodified, on a diskette, CD, website or any other medium and offer them for redistribution or resale of any kind.

d) ASSIGNABILITY
You may not sub-license, assign, or transfer this license to anyone else without prior written consent from AZDWebSolutions.com.

e) OWNERSHIP
You may not claim intellectual or exclusive ownership to any of our products, modified or unmodified. All products are property of AZD Web Solutions.

THIS IS A LEGAL AGREEMENT BETWEEN YOU AND AZDWebSolutions.com (AZDWebSolutions.com). BY SIGNING UP YOU ARE AFFIRMATIVELY STATING THAT YOU HAVE READ AND UNDERSTAND THE TERMS SET FORTH HEREIN AND ARE AFFIRMATIVELY INDICATING YOUR ACCEPTANCE OF THIS AGREEMENT AND YOU AGREE TO BE BOUND BY THE TERMS THEREOF.
